Terms of Service

Welcome. These Terms of Service ("Terms") govern your access to and use of elaynefluker.coach and the Elayne Fluker AI Coach (collectively, the "Service"), provided by EFGE, LLC ("we," "us," or "our"). By using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

1. Description of Service

The Elayne Fluker AI Coach is a digital coaching tool trained on more than a decade of Elayne Fluker's executive coaching work, including her book Get Over 'I Got It' (HarperCollins Leadership, 2021), her podcasts, courses, and signature frameworks. The AI Coach provides personalized coaching conversations on topics including but not limited to executive presence, authentic leadership, self-advocacy, layoff anxiety, and overfunctioning.

What the Service Is NOT

The Elayne Fluker AI Coach is not:

  • A licensed mental health professional, therapist, psychologist, or psychiatrist
  • A substitute for medical, psychological, legal, or financial advice
  • A replacement for human coaching, therapy, or other professional services
  • Elayne Fluker herself; the AI represents her perspective and voice but is not her

You agree that you will not use the Service as a substitute for licensed professional care. If you need medical, psychological, legal, or financial advice, please consult a qualified professional.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent that you meet this age requirement.

3. Account and Access

Your access to the Service is delivered via a private link sent to you after you subscribe. You may not share your access link or login credentials with others. Doing so is a violation of these Terms and may result in termination of your subscription without refund.

You are responsible for maintaining the confidentiality of your access link and for any activity that occurs under your account.

4. Subscription, Billing, and Cancellation

Free Trial

Your subscription begins with a 30-day free trial. You will not be charged during the trial. At the end of the trial, your selected subscription plan will begin and you will be charged the recurring fee.

Subscription Plans

We currently offer two subscription plans:

  • Monthly: $39.00 USD per month, billed monthly
  • Annual: $399.00 USD per year, billed annually

Prices are subject to change with notice. Any price change will not apply to your current billing cycle and will be communicated to you in advance.

Auto-Renewal

Your subscription automatically renews at the end of each billing period (monthly or annual) at the then-current rate. By subscribing, you authorize EFGE, LLC and our payment processor (Stripe) to charge your payment method on file for each renewal.

Cancellation

You may cancel your subscription at any time through your customer portal or by contacting support@elaynefluker.com. Cancellation takes effect at the end of your current billing period. You will retain access to the Service through the end of the period you have paid for.

If you cancel during your 30-day free trial, you will not be charged.

Refunds

No refunds will be issued for subscription charges already processed. You may cancel at any time to prevent future charges. The free 30-day trial allows you to evaluate the Service before any charge is made.

This no-refund policy does not affect any rights you may have under applicable law that cannot be waived.

Failed Payments

If a payment fails, we may suspend your access until payment is successfully processed. If payment cannot be collected after a reasonable period, your subscription may be terminated.

5. Acceptable Use

You agree to use the Service for personal, lawful purposes only. You will not:

  • Share your access link or credentials with others
  • Attempt to access the Service through unauthorized means
  • Use the Service to harass, threaten, or harm any person
  • Attempt to extract, scrape, copy, or redistribute the content of the AI Coach for any purpose other than your personal use
  • Reverse engineer, decompile, or attempt to derive the source content, frameworks, or training data underlying the AI Coach
  • Use the Service to violate any applicable law or regulation
  • Misrepresent your identity or affiliation

We reserve the right to suspend or terminate your access to the Service at any time, without refund, for violation of these Terms or for any reason we deem appropriate to protect the Service or other users.

6. Intellectual Property

Our Content

All content, frameworks, methodology, signature phrases, written material, and other intellectual property associated with the Service, including but not limited to the H.E.L.P. framework, the 5 Rs of an Empowered Ask, the I Got It Syndrome and its 3 Ds, and the First Feel, Second Solve coaching practice, are the exclusive property of Elayne Fluker and EFGE, LLC, or are used with proper attribution to their respective owners.

Your subscription grants you a personal, non-exclusive, non-transferable, revocable license to access and use the Service for your own personal coaching purposes only. You may not redistribute, resell, republish, or create derivative works from the content of the Service.

Your Conversations

You retain ownership of the content of messages you send to the AI Coach. By using the Service, you grant us and our service providers (including Delphi) a limited license to process and store your conversations as necessary to provide the Service.

Third-Party Content

The Feelings Wheel referenced in the Service is the work of Dr. Gloria Willcox. The "First Feel, Second Solve" framework is credited to Margo Geller, Elayne's business coach. The "Live the Question" framework is credited to Patricia Moreno. The "One Thing" focusing question is credited to Gary Keller. These attributions are preserved and not claimed as our own.

7. AI Disclaimer

The Elayne Fluker AI Coach is an artificial intelligence system. As such:

  • It may occasionally produce inaccurate, incomplete, or unexpected responses
  • It is trained on Elayne Fluker's body of work but may not always reflect her current views, ongoing teaching, or specific guidance she would offer in person
  • It should be used as a coaching tool, not as authoritative advice on any specific matter
  • It is not a real-time communication with Elayne herself

You agree to evaluate the AI Coach's responses with your own judgment and not to rely solely on AI-generated content for decisions of consequence.

8. Mental Health and Crisis

The Service is an executive coaching tool. It is not a substitute for mental health care or emergency response.

If you are experiencing thoughts of self-harm, suicide, or other acute mental health crisis, please contact a qualified professional or emergency service immediately. Resources include:

The AI Coach is trained to share crisis resources when users surface acute distress. However, the Service is not designed for, and should not be used as, an emergency response tool.

9. Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the data practices described in the Privacy Policy.

10. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE," without warranty of any kind, express or implied. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

We do not warrant that the Service will be uninterrupted, error-free, or free from harmful components, or that any defects will be corrected.

11. Limitation of Liability

To the fullest extent permitted by law, EFGE, LLC, Elayne Fluker, and our affiliates, employees, agents, and licensors will not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising from or related to the Service is limited to the amount you paid us for the Service in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless EFGE, LLC, Elayne Fluker, and our affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service at any time, for any reason, including but not limited to violation of these Terms.

Upon termination, your right to use the Service ceases immediately. Any provisions of these Terms that by their nature should survive termination (including intellectual property rights, disclaimers, limitations of liability, and indemnification) will survive.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict of law principles. Any disputes arising from or related to these Terms or the Service will be resolved in the state or federal courts located in Fulton County, Georgia, and you consent to the jurisdiction of those courts.

15. Changes to These Terms

We may modify these Terms from time to time. When we make material changes, we will notify you via email or by posting a notice on elaynefluker.coach. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and EFGE, LLC regarding the Service and supersede any prior agreements.
